Zepto Files for $1.3 Billion IPO, India’s Largest Stock Market Debut This Year

Zepto Ltd., the Indian quick-commerce company, has filed updated paperwork for what is expected to be the country’s biggest initial public offering this year, moving a step closer to a stock market debut that is drawing close attention across India’s fast-growing retail sector. According to Bloomberg, the filing brings to market one of the best-known companies in an industry built on rapid home delivery of groceries and other essentials.

The planned offering is expected to raise about ₹11,000 crore, or roughly $1.3 billion, based on reporting from NDTV Profit, which said the company could file its updated draft prospectus as early as this week and may target a July listing. That would make Zepto one of the largest IPOs in India this year and a key test of investor appetite for newer consumer internet businesses.

Zepto’s filing also highlights how quickly the company has scaled, while underscoring the cost of that growth. TechCrunch reported that advertising revenue surged 151%, outpacing the company’s 104% increase in operating revenue, a sign that the business is expanding fast but is still working to improve its economics. The filing, however, also points to larger losses, raising questions about when profitability might come into view.

The IPO is significant beyond Zepto itself because quick commerce has become one of India’s most closely watched consumer categories, with companies racing to build dense delivery networks in major cities. A successful listing would give public-market investors a direct way to bet on that growth, while also offering a signal on how much value markets are willing to assign to companies that are expanding quickly but remain loss-making.

According to NDTV Profit, Zepto first moved toward the offering under a confidential route in December and has already received approval from India’s markets regulator, SEBI. The updated filing is the next formal step in the process, followed by investor roadshows meant to gauge demand before pricing the deal.

What happens next will depend on how investors respond to Zepto’s growth story and its financial profile. If the company proceeds on the expected timetable, its listing could become one of the most closely watched public offerings in India this year, not only for the size of the deal but for what it says about the market’s willingness to back fast-growing consumer-tech companies.
