Cohere, a Toronto-based enterprise AI company, has announced a merger with Aleph Alpha, a German AI startup, creating a combined entity valued at approximately $20 billion. The deal was announced Friday in Berlin with digital ministers from both Canada and Germany in attendance, underscoring its significance as both a commercial and geopolitical transaction.
The merger structure reveals the true nature of the deal: Cohere's shareholders will retain approximately 90% of the combined company, while Aleph Alpha's shareholders will hold around 10%, making this effectively a Cohere acquisition framed as a merger. According to TechCrunch, the newly formed company has yet to close the deal, which is expected to complete later this year.
The two companies bring complementary strengths to the partnership. Cohere arrives with established model development capabilities, $240 million in annual recurring revenue, and an enterprise customer base that includes the Royal Bank of Canada, Fujitsu, and LG CNS. Aleph Alpha contributes deep relationships with European public-sector clients and regulatory credibility in the region. Together, they aim to offer businesses and governments an alternative to dominant U.S.-based AI providers, one that emphasizes data sovereignty and independence from a single jurisdiction or provider.
Backing the venture, the Schwarz Group—one of Europe's largest retailers and an existing backer of Aleph Alpha—is committing $600 million to Cohere's Series E funding round, according to TechCrunch. The German government has also signaled its intent to become an anchor customer for the combined entity. The merged company will operate under the Cohere brand with dual headquarters in Toronto and Germany, positioning it to compete directly against AI giants including OpenAI, Anthropic, and Google in the enterprise and government sectors.
The deal reflects a broader industry push to create alternatives to U.S. and Chinese dominance in artificial intelligence. By pooling Canadian and German talent, compute resources, and national ecosystems, the combined entity aims to serve critical sectors including defense, finance, energy, telecommunications, and healthcare with secure, customizable AI solutions that meet stringent compliance requirements.
